Homework Set #5: Chapter 12

Due Week 10 and worth 100 points

Directions: Answer the following questions on a separate document. Explain how you reached the answer or show your work if a mathematical calculation is needed, or both. Submit your assignment using the assignment link above.

In your own words, complete the Mini-Case on Page 562 of your textbook.

Suppose you decide (as did Steve Jobs and Mark Zuckerberg) to start a company. Your product is a software platform that integrates a wide range of media devices, including laptop computers, desktop computers, digital video recorders, and cell phones. Your initial market is the student body at your university. Once you have established your company and set up procedures for operating it, you plan to expand to other colleges in the area and eventually to go nationwide. At some point, hopefully sooner rather than later, you plan to go public with an IPO and then to buy a yacht and take off for the South Pacific to indulge in your passion for underwater photography. With these issues in mind, you need to answer for yourself, and potential investors, the following questions.

  1. What is an agency relationship? When you first begin operations, assuming you are the only employee and only your money is invested in the business, would any agency conflicts exist? Explain your answer
  2. If you expanded and hired additional people to help you, might that give rise to agency problems?
  3. Suppose you need additional capital to expand and you sell some stock to outside investors. If you maintain enough stock to control the company, what type of agency conflict might occur?
  4. Suppose your company raises funds from outside lenders. What type of agency costs might occur? How might lenders mitigate the agency costs?
  5. Suppose your company is very successful and you cash out most of your stock and turn the company over to an elected board of directors. Neither you nor any other stockholders own a controlling interest (this is the situation at most public companies). List six potential managerial behaviors that can harm a firm’s value.
  6. What is corporate governance? List five corporate governance provisions that are internal to a firm and are under its control.
  7. What characteristics of the board of directors usually lead to effective corporate governance?
  8. List three provisions in the corporate charter that affect takeovers.
  9. Briefly describe the use of stock options in a compensation plan. What are some potential problems with stock options as a form of compensation?
  10. What is block ownership? How does it affect corporate governance?
  11. Briefly explain how regulatory agencies and legal systems affect corporate governance

Motivation in the Workplace: Rewards, Discipline, or Both?

Do not forget that this paper requires at least two references with accompanying citations.

Introduction and Background:
Organizations are constantly trying to make sure that their members are ethical and productive. Several different kinds of reward and punishment

systems have been developed with this goal in mind. Members are evaluated, rewarded, put on performance improvement plans, punished, etc.
Assignment Description:
The point of this assignment is to evaluate the systems of evaluation and motivation. Begin by reviewing the contents of Chapters 7 and 8 in

which the various ways of motivating good behavior are discussed. In an essay of at least 500 words pick the method that you think is best at

genuinely motivating members of an organization to improve their behavior and be productive. Pick the method that you think is least effective

at motivating behavioral improvement. Finally, discuss whether or not different people require different kinds of motivation. Be sure to

complete each of the following steps:
Describe a specific method of reward or discipline that you believe to be best in motivating ethical and productive behavior in the workplace.

How is such applied or communicated?
Discuss a specific method of reward or discipline that you believe is least effective in motivating ethical and productive behavior in the

workplace.
Discuss whether you think different people require different kinds of motivation or if one system can be applied to all. How is it possible to

know which to apply to whom?
Conclude with a discussion of what was learned in this assignment.

Which brings us to your essay. For this assignment you should choose one or both of these texts. I want you to look at the idea of success – personal, career, social, educational, etc. – and how effectively or ineffectively the narrators of these texts represent that. This necessitates that you, as the writer, first determine what you consider success to be and what areas of life we should use to gauge it. Is success found in self-actualization? In monetary earnings? Building a healthy, happy family? Something completely different?
You should put all of this in the context of the “real world.” Are we, as a society, doing it all wrong? Are we getting it right? Does it just depend on the person? Are the texts extremes in either direction? What should or shouldn’t we take away from Nervous Conditions and Fight Club?

Ultimately, this should be a persuasive essay where you will lay out what you consider to be the definition of success, how our society views and achieves it, and what, if anything, should be done to improve that perspective. You should supplement the texts with secondary library sources to further support your argument. (Some suggested search terms: text titles and/authors; self-actualization; success; education; anarchy; social norms; etc.)
Requirements:

3rd person
4-5 pages in length
Standard MLA or APA formatting
4-5 sources, 1-2 of which can be the above texts
You should take a persuasive approach, arguing your point through a solid thesis, concrete examples, and your analysis based on your research
