Part 2: Analysis of the PR Branding Effort

You are an Investment Analyst
As the CFO of your corporation, you are in charge of preparing and analyzing financial statements that will be presented to potential investors and creditors. However, before you can present the financial statements to investors and creditors, you need to prepare the financial statements with supporting analysis. Select one (1) pair of the following companies to conduct your financial statement analysis.
• Pepsi versus Coca Cola, or
• Amazon versus eBay
Write an eight (8) page paper in which you:
1. Analyze each company’s history, product / services, major customers, major suppliers, and leadership, and provide a synopsis of each company.
2. Identify three (3) profitability ratios that creditors may be interested in. Calculate the ratio for each company, and prepare a report to summarize your findings on the financial health of each company. Also, recommend to management the manner in which they can improve each of the three (3) ratios identified.
3. Summarize at least two (2) news events (this may include mergers, acquisitions, or political issues) that occurred from 2012 to the present day, and analyze the impact that these events had on each company’s financial statements. Indicate the primary way in which the merger, acquisition or political issues influence potential investors’ and creditors’ perception of both companies.
4. Analyze each company’s income statement over the past two (2) years, and determine which company outperformed the other. Suggest a way in which the lagging company can improve its income. Support your suggestion with a specific analysis.
5. Analyze each company’s balance sheet. Prepare a vertical analysis for each company, interpret the results, and write a financial report. Also, suggest the manner in which the company that is not performing well can improve its balance sheet in order for it to be attractive to potential investors.
6. Use at least five (5) quality academic resources in this assignment. Note: Wikipedia and other Websites do not qualify as academic resources.

The film, Lord of War, explores the rise and fall of Yuri Orlov from his emigration and early misbehaviors in the Brooklyn community locally named “Little Odessa” to the establishment of his arms-trading empire and ultimately to his downfall. The film examines Yuri’s relationships through the years with his younger brother, Vitaly, with his wife Ava, and his nuclear and extended family as well as his parallel business relationships in the illegal arms trade. The language embedded in the film is nearly consistent with the legal constructs of the US Uniform Commercial Code (Negotiable Instruments, Funds Transfers, Bills of Lading, etc.). Yet, for his business to function, Yuri must explore practices that range from the legitimate to the criminal though he tries to remain on the legal side of unethical transactions.

Yuri tells us that “without operations like [his] it would be impossible for certain countries to conduct a respectable war. [He is] able to navigate around those inconvenient little arms embargoes. There are three basic types of arms deal: white, being legal, black, being illegal, and my personal favorite color, gray. Sometimes [he] made the deal so convoluted, it was hard for [him] to work out if they were on the level.” This raises the question about the ethical layers of his business. Furthermore, Yuri notes that “There are over 550 million firearms in worldwide circulation. That’s one firearm for every twelve people on the planet. The only question is: How do we arm the other 11?” A point which asks us to reflect on whether every business that produces a profit is ethically viable.

Consider the question, then, whether every business model can be matched to ethical and responsible conduct.Is that so? Are there businesses that should not exist? Are there business partnerships that should not be developed? Is every tactic to make a profit ethically permissible and if not, what are the limits? Finally, should a business alter its ethical perspective based on the culture of the partnerships or maintain the ethic of its culture of origin? As an example of the last point, consider the range of corruption: many businesses are aware that “tips” can expedite trade and use them as “appropriate” costs of business; while others limit “tips” to non-government officials to avoid a semblance of bribery.

Using and discussing ethical, stakeholder and moral theory as well as readings , explore the ethical logic of these questions from your perspective.

Using Your Manager Skills

Simply Green Products is a $10 million company that produces biodegradable packing materials that orchards use in the Shenandoah Valley to transport their apples, peaches, and pears nationwide. Biodegradable materials are more eco-friendly because they break down into the environment. Such packing materials are marketed under the name “SafePack,” which is heavily advertised in trade journals. Simply Green Products have had the name “SafePack” imprinted on all of their packing material since 2008; however, they never filed for either state or federal trademark protection. With the movement toward more eco-friendly agricultural production, the fact that such packing materials are biodegradable provides a primary marketing advantage over non-biodegradable competitors.

The company president, Shep Howard, has recently become aware of several issues that may require referral to the company’s outside counsel. Because you serve as the company’s risk manager, Howard has asked you to leverage your legal and managerial skills to draft a memorandum that addresses one (1) of the two (2) situations described below:

-An environmental group is asserting that SafePack materials are not biodegradable. In fact, the group claims that these materials are causing an environmental hazard that is seeping from a local landfill into a nearby stream. An environmental group, SafePack Materials Pollute, has sprung up and launched an Internet campaign geared toward compelling fruit producers to stop purchasing your packing materials. The situation at hand raises environmental issues that relate to the Clean Water Act and the Solid Waste Disposal Act.

– A company called Safe Choices, Inc. has accused Simply Green Products of trademark infringement, and has sent a cease and desist letter to President Howard, demanding that Simply Green Products stop using the name “SafePack”. The letter asserts that a) Safe Choices uses the SafePack name to market an emergency weather kit in the form of a backpack; and that b) Safe Choices had received a federal registration for the mark from the Patent and Trademark Office in 2002. This backpack is sold both online at safepack.com and in sporting goods stores nationwide. The letter goes on to suggest that Simply Green Product’s use of this name “constitutes a false designation of origin which is likely to confuse customers as to the source of the goods”. The intellectual property issue at hand involves the Lanham Act.

For one (1) of the two (2) situations set out above, write a three to four (3-4) page memorandum to President Howard. Ensure that you address each of the questions below within your memo so that President Howard may assess whether or not Simply Green Products needs to hire outside counsel to address the matter at hand.

1. Discuss the elements that must be present in order for one to prove a valid claim under the law(s) specified (i.e., the Clean Water Act, the Solid Waste Disposal Act, or the Lanham Act).

2. Determine whether or not the activity of Simply Green Products amounts to a violation of the applicable law (i.e., the Clean Water Act, the Solid Waste Disposal Act, or the Lanham Act). If you chose the environmental issue, determine whether or not seepage from your products into a stream would violate the Clean Water Act, the Solid Waste Disposal Act, or both. Explain your rationale. If you chose the intellectual property matter, determine whether or not continued use of the SafePack name by your company would violate the Lanham Act. Explain your rationale.

3. Decide whether or not President Howard should refer this chosen matter to the company’s outside counsel. Provide a rationale for your decision.

4. Use at least three (3) high-quality academic references. As the cases discussed within the assignment are hypothetical, you will not find any solutions to them on the Internet.
